1. Purpose
This Agreement establishes the terms under which the Referral Partner may introduce prospective clients to Pua Futures Realty (“PFR”). The Referral Partner participates solely as a source of prospective clients. PFR remains responsible for handling the actual real-estate inquiry and transaction.
2. Referral-Only Role
The Referral Partner may display or distribute its assigned PFR referral QR code or link and may introduce prospective clients to PFR. The Referral Partner shall not represent itself as a PFR broker, salesperson, agent, or authorized representative; negotiate property price or terms; make binding representations on behalf of PFR; collect reservation or purchase payments; execute transaction documents for PFR; or perform other acts that require a real-estate license or accreditation.
3. Referral Attribution
A referral is attributed through the Referral Partner’s unique QR code or referral link. The referral attribution period is seven (7) calendar days from the date and time the prospect first enters PFR’s website through the valid referral link. PFR uses a first-valid-referral rule. Where the same prospect is already an existing or active PFR lead before the referral is submitted, the referral is not eligible unless PFR expressly approves it in writing.
4. Duplicate Referrals
If the same prospect is referred by more than one referral partner, the first valid, complete, and system-recorded referral shall generally receive attribution. PFR may review disputed cases based on system timestamps, prospect records, inquiry history, and supporting evidence.
5. Referral Fee
For an eligible referral that results in a transaction, the Referral Partner may receive a referral fee equivalent to three percent (3%) of the actual commission, referral fee, or other transaction-based income actually received and retained by PFR from the applicable developer, seller, or partner. The 3% referral fee is not 3% of the property selling price.
6. Successful Referral
A referral becomes a successful referral only when the applicable transaction is updated by an authorized PFR administrator as SOLD and the other requirements of this Agreement have been satisfied.
7. When the Referral Fee Becomes Payable
The referral fee becomes payable only after PFR has actually received and retained the corresponding commission, referral fee, or transaction-based income from the applicable developer, seller, or partner.
8. Cancellation
If the buyer cancels the transaction and PFR does not receive the corresponding income, no referral fee shall be payable. If a referral fee has already been paid and the corresponding PFR income is later reversed, refunded, forfeited, or otherwise returned, PFR may offset or recover the corresponding referral fee, subject to applicable law and the parties’ records.
9. No Guarantee
Registration as a Referral Partner does not guarantee any lead, sale, commission, referral fee, or minimum income. PFR may verify, reject, suspend, or terminate referrals that do not meet the program rules.
10. Prospect Information and Consent
The Referral Partner shall not submit a prospect’s personal information to PFR without a lawful basis or appropriate consent where required. The Referral Partner shall provide only information reasonably necessary for PFR to contact the prospect and shall not misrepresent the prospect’s interest.
11. Independent Relationship
The Referral Partner is an independent referral source and is not an employee, broker, salesperson, partner, joint venturer, or legal representative of PFR by virtue of this Agreement. Nothing in this Agreement authorizes the Referral Partner to bind PFR.
12. Program Administration
PFR may maintain electronic records of referral registrations, referral codes, inquiry timestamps, lead status, transaction status, PFR income received, and referral fee payments for administration and audit purposes. PFR may update its operational procedures from time to time, provided that material changes affecting existing eligible referrals will be handled consistently with the applicable agreement and records.
13. Compliance
The parties intend that the Referral Partner’s activities remain limited to referral and introduction. Nothing in this Agreement authorizes the Referral Partner to perform regulated real-estate service activities for which a license or accreditation is required.
14. Electronic Acceptance
By checking the agreement acceptance box and selecting “I Agree & Continue,” the Referral Partner confirms that the information provided is accurate and agrees to this Agreement. PFR records the agreement version and acceptance date/time as part of the Referral Partner registration record.
